SITES UNSOLICITED COMMUNICATIONS POLICY
SITES adopt the following Unsolicited Communications Policy, effective November 16, 2005:
1. PREAMBLE
SITES subscribe to a strict No Illegal Spam Policy as exhibited and explained by this Policy. The prohibitions contained in this Policy are intended to extend to all forms of unsolicited communications, including text messages, instant messages, facsimile transmissions, and all similar forms of electronic or data communications. SITES will not profit from, nor allow anyone else to profit from, unsolicited promotions or communications. SITES will cooperate with law enforcement to see to it that illegal spammers are prosecuted to the fullest extent of the law. Affiliate is required to confirm its activity to the dictates of this Policy, the laws of its country of residence and the laws of the country of residence of the recipient.
2. ZERO TOLERANCE FOR UNSOLICITED E-MAIL OR OTHER COMMUNICATIONS
We consider any dissemination unsolicited commercial email, text messages, facsimile transmissions or other similar electronic communications (hereinafter Spam) to be STRICTLY PROHIBITED.
Although the laws of some countries allow the dissemination of unsolicited bulk email, facsimile transmissions, or electronic messages under certain, tightly regulated conditions, we have elected to impose a stricter, total Spam ban policy, for all Affiliates. This means that Affiliates are prohibited from engaging in any bulk email promotions, regardless of how the recipients email addresses are acquired, generated or obtained, without prior express permission. The only circumstance in which promotions involving electronic communications are permitted is where the recipient has expressly consented in advance to the receipt of the specific communication at issue.
We reserve the right to terminate and forfeit all unpaid commissions or entitlement thereto, in case of any violation of this strict Unsolicited Communications Policy. We reserve the right to audit and investigate compliance with this Policy at any time, with or without notice.
3. INDEMNIFICATION
Affiliates, and their agents, employees or other promoters using any form of unsolicited electronic communications in violation of this Policy agree to indemnify and hold SITES harmless from any and all claims, charges, counts, debts, suits or other allegations arising from violations of the laws of any country, state, territory or province, regulating transmission of unsolicited electronic communications. SITES shall provide immediate notice of any and all such claims, however SITES shall select its own attorneys to defend such claims, at the sole and exclusive expense of the affiliate, agent, employee or promoter responsible for the alleged violation.
4. AUDITS
You agree to cooperate in periodic audits of any of your activity taken without any right to advance notice. In the event we request it, you agree to make available to us, any and all promotional materials and communications used to market our services or your profile or any other matters relating to SITES, within the last 2 years. You further agree to provide any information relating to such promotions, including but not limited to email addresses, lists, names, times and dates of transmission, IP addresses, servers, mail systems, software devices, compliance methods, and any other such information reasonable and necessary to conduct an audit of promotional activities. Failure to cooperate in such an audit shall constitute grounds for termination of our relationship, for cause.
